Forming a corporation

1. Choose a state corporation
   1. Domestic - the state where the corporation is filed. Internal disputes are filed in THIS state.
   2. Foreign - External disputes are filed where the injury ocurred.
2. Choose a corporate name. Must include "Corporation," "Incorporated," "Company," Limitied, or "P.C." A P.C. is just like any other corporation, except ALL stockholders must be members.
3. File the charter / articles of incorporation with the state of incorporation
   1. Include the "shell:"
      1. Corporate name
      2. Orginal board of directors

  • LLC can be easily converted into a corporation
